Welcome to MarineDepotDirect.com (the “Site”), operated by Marine Depot, doing business as Marine Depot Direct (“Marine Depot Direct,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to the Site and your purchase of products from us. Please read them carefully — they include important information about your rights, our policies, and limitations of liability, including a binding arbitration provision and class action waiver in Section 26.
1. Acceptance of Terms
By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms, our Privacy Policy, our Return Policy, our Warranty, and our Shipping Policy. If you do not agree, please do not use the Site or purchase products from us.
2. Changes to Terms
We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Material changes take effect when posted, and your continued use of the Site after that date constitutes acceptance. We encourage you to review these Terms periodically.
3. Website Use and Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order. By using the Site, you represent that you meet this requirement and that the information you provide is accurate and complete. You agree to use the Site only for lawful purposes consistent with these Terms.
4. Account Registration and Customer Information
You may create an account to streamline checkout and order tracking. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Please notify us promptly of any unauthorized use. We may suspend or terminate accounts at our discretion, including for inaccurate information, suspected fraud, abusive behavior, or violation of these Terms.
5. Product Information, Availability, and Pricing
We work to display product details, specifications, images, and pricing as accurately as possible. However:
- Product images are for illustration and may not reflect exact appearance, finish, hardware, or included accessories.
- Specifications, dimensions, and compatibility information are provided as a general reference and may be updated by manufacturers without notice.
- Inventory availability is not guaranteed, and listed items may sell out before an order is confirmed.
- Prices are shown in U.S. dollars and may change at any time without notice.
6. Order Acceptance, Cancellation, and Errors
Your submission of an order is an offer to purchase. An order is not accepted until we send an order confirmation and the items ship. We reserve the right to limit, refuse, or cancel any order, including for:
- Pricing, description, or inventory errors
- Suspected fraud, resale activity, or violation of these Terms
- Inability to verify customer information or shipping address
- Product unavailability or discontinuation
- Orders that appear to be placed by unauthorized resellers or competitors
If a pricing or listing error affects your order, we may contact you to confirm the correct terms or cancel the order and issue a full refund. We are not obligated to honor orders resulting from clear errors, even after payment has been authorized or charged.
7. Payment Terms
We accept major credit cards and other payment methods displayed at checkout. You authorize us to charge your selected payment method for the full order total, including products, shipping, taxes, and any applicable fees. You represent that you are authorized to use the payment method provided. We use third-party payment processors and are not responsible for their actions or omissions.
8. Sales Tax
We collect sales tax in states where we are required to do so. Applicable tax is calculated at checkout based on the shipping destination and current tax rules. You are responsible for any use tax, import duties, or other taxes not collected by us.
9. Shipping and Delivery
Shipping is governed by our Shipping Policy, which is incorporated into these Terms by reference. Shipping charges and estimated delivery times are displayed at checkout or quoted separately for freight (LTL) shipments. Delivery dates are estimates, not guarantees, and may be affected by carrier delays, weather, customs, or other factors beyond our control. International shipments may be subject to duties, taxes, and customs clearance, which are the customer’s responsibility.
Freight (LTL) and oversized shipments: The customer is responsible for inspecting the shipment at the time of delivery and noting any visible damage, shortage, or other carrier issue on the delivery receipt before signing. Failure to note damage at delivery may limit available remedies. Concealed damage must be reported promptly per Section 12.
10. Risk of Loss
Title and risk of loss for purchased products pass to you when the products are tendered to the carrier at our shipping origin (FOB Origin), unless otherwise agreed in writing. If a shipment is lost or damaged in transit, contact us promptly so we can assist with a carrier claim.
11. Returns, Refunds, and RMA Process
Returns are governed by our Return Policy, which is incorporated into these Terms by reference. In general:
- Returns require a Return Merchandise Authorization (RMA) issued by Marine Depot Direct before items are shipped back.
- Returns must be initiated within the period stated in the Return Policy.
- Items must be in new, unused, resaleable condition in original packaging.
- Restocking fees and return shipping costs may apply.
- Refunds are issued to the original payment method after we inspect and approve the return.
Special order, custom, made-to-order, cut-to-length, hazardous, and clearance items may be marked non-returnable on the product page, invoice, quotation, or other written communication. Please review product details carefully before ordering.
12. Damaged, Defective, or Incorrect Items
If your order arrives damaged, defective, or incorrect, contact us within the timeframe stated in the Return Policy with photos and order details. We will work with you on repair, replacement, or refund in accordance with our policies and any applicable manufacturer warranty.
For freight shipments, concealed damage must be reported as soon as it is discovered, typically within a short window set by the carrier (often within 5 business days of delivery, but the specific deadline varies). Carrier deadlines for filing damage claims are outside our control, and late notice may limit available remedies.
13. Product Compatibility and Customer Responsibility
You are responsible for verifying fitment, dimensions, materials, specifications, and compatibility before placing an order. Information published on the Site is provided as a general reference. Boat models, model years, sub-models, OEM revisions, retrofits, and aftermarket modifications vary, and listings may not capture every variation.
Marine Depot Direct does not guarantee that any product will fit, function, or be appropriate for a particular boat or application unless we have expressly confirmed compatibility for your specific order in writing. If you are unsure, please contact us before ordering. Returns of items that do not fit your application are subject to the standard Return Policy, including any restocking fees and return shipping costs.
14. Installation, Use, and Safety
Products sold by Marine Depot Direct are intended to be installed and used by individuals with appropriate skill, training, and tools. Improper installation, use, or maintenance can cause property damage, personal injury, or unsafe vessel operation. You are responsible for:
- Following all manufacturer instructions, marine industry standards (including ABYC, NMMA, and USCG guidance where applicable), and local regulations
- Using qualified marine professionals when the work is beyond your skill level
- Inspecting installations regularly and performing required maintenance
Marine Depot Direct is not responsible for damage, injury, or loss resulting from improper installation, modification, misuse, or failure to maintain products.
15. Marine Environment, Corrosion, and Maintenance
Marine hardware operates in harsh conditions including saltwater exposure, UV radiation, temperature extremes, galvanic activity, chemical contact, and mechanical stress. Even high-quality Marine Grade Stainless and other marine-grade materials can corrode, stain, pit, or degrade over time, particularly without proper rinsing, maintenance, and isolation from dissimilar metals.
Long-term performance depends on installation quality, environmental exposure, maintenance practices, and use conditions, all of which are outside our control. Surface staining, tea staining, oxidation, and routine cosmetic wear are normal in marine environments and are not considered manufacturing defects.
16. Manufacturer Information, Warranties, and Third-Party Products
Many products sold on the Site are manufactured by third parties. Warranty terms for products sold on the Site are described on our Warranty page, which is incorporated into these Terms by reference. Manufacturer warranties, if any, are provided directly by the manufacturer and are not warranties from Marine Depot Direct unless we have expressly stated otherwise in writing. We will provide reasonable assistance in connecting you with the manufacturer for warranty claims, but we do not control the manufacturer’s process, timing, or decisions.
Brand names, trademarks, OEM part numbers, and reference numbers used on the Site are the property of their respective owners and appear for identification and cross-reference purposes only. Their use does not imply affiliation, endorsement, or sponsorship.
17. No Professional Advice or Technical Guidance
Information published on the Site, in product descriptions, in blog or social media posts, in email correspondence, or otherwise provided by Marine Depot Direct staff is general in nature and is not engineering, naval architecture, marine surveying, electrical, structural, mechanical, safety, or professional repair advice. You should not rely on it as a substitute for consultation with a qualified marine professional for your specific vessel and application.
18. Intellectual Property and Website Content
All content on the Site — including text, images, graphics, logos, product photography, descriptions, software, and the overall look and feel — is owned by Marine Depot Direct or its licensors and is protected by U.S. and international intellectual property laws. You may view and print content for personal, non-commercial reference. Any other use, including reproduction, scraping, republication, or commercial use, requires our prior written permission.
19. User Submitted Content, Reviews, and Communications
If you submit reviews, comments, photos, questions, suggestions, or other content to the Site or to our team (“User Content”), you grant Marine Depot Direct a non-exclusive, royalty-free, worldwide, perpetual, transferable, sublicensable license to use, reproduce, modify, publish, and display that content in connection with our business, including marketing and product listings.
You represent that you own or have the rights to submit the content and that it does not infringe any third party’s rights, violate any law, or contain false, misleading, harassing, or unlawful material. We may edit, refuse, or remove User Content at our discretion.
20. Prohibited Uses
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Scrape, harvest, or systematically collect data from the Site
- Use bots, scripts, or automated tools to place orders or access the Site
- Misrepresent your identity, payment information, or shipping details
- Interfere with the Site’s security, performance, or other users’ use
- Resell, rebrand, or redistribute products in a manner that violates manufacturer agreements or applicable law without authorization
- Use the Site to compete with Marine Depot Direct or to develop a competing product, listing, or service
21. Third-Party Links and Services
The Site may link to third-party websites, manufacturer pages, freight carriers, payment processors, or other services. We do not control these third parties and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.
22. Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY FROM MARINE DEPOT DIRECT OR A MANUFACTURER, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MARINE DEPOT DIRECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT PRODUCT INFORMATION IS COMPLETE OR ACCURATE.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
23. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MARINE DEPOT DIRECT AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF USE, LOSS OF DATA, DOWNTIME, HAULOUT OR YARD COSTS, OR PROPERTY DAMAGE, ARISING FROM OR RELATED TO THE SITE, THE PRODUCTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE, THE PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO MARINE DEPOT DIRECT FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
24. Indemnification
You agree to defend, indemnify, and hold harmless Marine Depot Direct and its officers, employees, agents, and affiliates from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising from (a) your use of the Site, (b) your purchase, installation, or use of products, (c) your User Content, (d) your violation of these Terms, or (e) your violation of any law or third-party right.
25. Force Majeure
We are not responsible for delays or failure to perform caused by events beyond our reasonable control, including acts of God, severe weather, hurricanes, floods, fires, earthquakes, pandemics, government action, labor disputes, transportation disruptions, port congestion, supplier or manufacturer delays, utility or internet outages, cyberattacks, or other similar events.
26. Governing Law, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH MARINE DEPOT DIRECT THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
Governing Law. These Terms, and any dispute arising out of or relating to these Terms, the Site, or your purchases, are governed by the laws of the State of California, without regard to its conflict of laws principles. The Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of the arbitration provisions in this Section 26.
Informal Dispute Resolution. Before initiating arbitration or any legal action, you and Marine Depot Direct agree to first attempt to resolve the dispute informally. You must send written notice of the dispute to [email protected] with the subject line “Notice of Dispute,” describing the nature of the dispute and the relief sought. The parties will have sixty (60) days from the date the notice is received to attempt to resolve the dispute. If the dispute is not resolved within that period, either party may proceed to arbitration.
Binding Individual Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, your account, your purchases, or any products or services provided by Marine Depot Direct that is not resolved informally shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, available at www.adr.org. The arbitration will be conducted in San Bernardino County, California, or in your county of residence at your election, or by telephone or videoconference where permitted by AAA rules. The arbitrator’s decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. YOU AND MARINE DEPOT DIRECT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If a court decides that applicable law prevents enforcement of this class action waiver as to any portion of a dispute, that portion will be severed and litigated in court, while the remainder of the dispute will proceed in arbitration.
Exceptions to Arbitration. Notwithstanding the above, either party may (a) bring an individual action in small claims court for disputes within that court’s jurisdiction, and (b) seek injunctive or other equitable relief in court to protect its intellectual property rights or to enforce restrictions on use of the Site.
Opt-Out of Arbitration. You may opt out of the arbitration agreement in this Section 26 by sending written notice to Marine Depot Direct at the contact address in Section 32 within thirty (30) days of first accepting these Terms or first using the Site, whichever is earlier. The notice must include your name, mailing address, email address, order number (if any), and a clear statement that you wish to opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms.
Severability of Arbitration Provisions. If any portion of this Section 26 (other than the Class Action Waiver) is found to be unenforceable, the unenforceable portion will be severed and the remainder of this Section will remain in full force and effect. If the Class Action Waiver is found unenforceable as to any claim, then the entirety of this Section 26 will be null and void as to that claim, and the claim will proceed in court under the venue provisions below.
Court Venue (Where Arbitration Does Not Apply). If a claim is not subject to arbitration under this Section, you agree that the state and federal courts located in San Bernardino County, California will have exclusive jurisdiction, and you consent to personal jurisdiction in those courts and waive any objection to venue.
27. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
28. Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
29. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms at any time without notice.
30. Entire Agreement
These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, Warranty page, and any other policies posted on the Site, constitute the entire agreement between you and Marine Depot Direct regarding the Site and your purchases, and supersede any prior or contemporaneous agreements on the same subject.
31. California Residents
Under California Civil Code Section 1789.3, California residents are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
California residents have specific rights regarding their personal information under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). Please see our Privacy Policy for information about these rights and how to exercise them.
